Welcome to On Prize (referred to as "we," "us," "our," or the "Company"). These Terms & Conditions ("Terms") form a legally binding agreement between you and On Prize regarding your use of our mobile application, website, and related services (collectively, the "Service"). By accessing, downloading, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our Service.
Google Play Store Compliance Note: These Terms meet Google Play's mandatory requirements, including clear disclosure of user responsibilities, cancellation/refund policies, liability limitations, and dispute resolution mechanisms.
1. Definitions & Interpretation
- "Platform" means the On Prize mobile application and website.
- "User/You" means any individual who accesses or uses the Service, including customers, delivery recipients, and visitors.
- "Restaurant Partner" means third-party food establishments that prepare and list food items via the Platform.
- "Order" refers to a purchase transaction initiated by a User through the Platform.
- "Delivery Partner" means third-party couriers or logistics providers engaged to deliver Orders.
2. Eligibility & Account Registration
You must be at least 18 years of age to create an account or place orders on On Prize. By using the Service, you represent and warrant that you meet this age requirement. You agree to provide accurate, current, and complete information during registration and to update it promptly. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at support@onprize.in if you suspect unauthorized access.
3. Nature of Services
On Prize operates as an intermediary technology platform that connects Users with independent Restaurant Partners for food ordering and delivery. We do not prepare, cook, or handle food items. All food quality, preparation standards, packaging, and hygiene are the sole responsibility of the respective Restaurant Partner. On Prize facilitates payment processing, order tracking, and customer support but does not assume liability for food-related issues beyond what is stated in this agreement.
Important: Restaurant Partners are independent businesses. Any disputes regarding food quality, quantity, or allergens must be raised directly with the restaurant. On Prize will assist in resolution but is not liable for food preparation defects.
4. Pricing, Payments & Taxes
- Menu Prices: On Prize displays prices as provided by Restaurant Partners. We strive to match in-restaurant prices, but minor variations may occur due to packaging or platform fees.
- Additional Charges: Delivery fees, surge charges (if applicable), packaging charges, and applicable taxes (GST, etc.) are shown in the order summary before checkout.
- Payment Methods: We accept UPI, credit/debit cards, net banking, and digital wallets. All payments are processed through PCI-DSS compliant third-party gateways.
- Price Changes: On Prize reserves the right to modify delivery fees or introduce platform charges with prior notice.
5. Orders, Cancellations & Refunds
5.1 Order Confirmation
Once you place an order, you will receive a confirmation notification. The order is deemed accepted only after the Restaurant Partner acknowledges preparation. We reserve the right to reject or cancel any order due to unavailability, pricing errors, or suspected fraud.
5.2 Cancellations by User
- Before preparation start: Orders can be cancelled free of charge through the app/website. Full refund will be processed within 5–7 business days.
- After preparation starts: Cancellation may not be possible. If the restaurant agrees to cancel, a partial refund (excluding preparation costs) may apply.
- After dispatch: Orders cannot be cancelled. However, you may refuse delivery only if the order is significantly incorrect or damaged (see refund policy).
5.3 Refund Policy (Play Store Compliant)
Refunds are governed by our Refund & Cancellation Policy. In summary:
- Full refunds for cancellations before preparation.
- Partial/full refunds for missing items, wrong orders, or severe quality issues (subject to photo evidence).
- Refunds are credited to the original payment method within 5–10 business days.
- No refunds for delivery delays caused by uncontrollable factors (weather, traffic, etc.).
6. Delivery & Shipping Terms
- Estimated Time: Delivery estimates are provided by Restaurant Partners and logistics partners. Actual times may vary.
- Delivery Area: We currently serve select cities/regions. You can verify availability by entering your address.
- Failed Deliveries: If you are unavailable at the time of delivery, the order may be returned to the restaurant/cancelled. Re-delivery may incur additional charges.
- Contact for Delivery: By placing an order, you consent to being contacted by the delivery partner via call/SMS for coordination.
7. User Responsibilities & Prohibited Conduct
You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others. Prohibited activities include:
- Providing false, inaccurate, or misleading information.
- Interfering with the Platform's operation or attempting unauthorized access.
- Harassing delivery partners or restaurant staff.
- Using the Platform for any commercial resale without written consent.
- Engaging in fraudulent chargebacks or misuse of promo codes.
Violation may result in immediate account suspension or permanent ban, and legal action if applicable.
8. Restaurant & Delivery Partner Liability
Restaurant Partners are solely responsible for:
- Food safety, allergens, preparation standards, and order accuracy.
- Compliance with applicable food safety regulations and licenses.
- Handling customer complaints related to food taste, quality, or quantity.
Delivery Partners are responsible for safe and timely transport of orders. On Prize acts as a facilitator and is not an agent of any restaurant or delivery entity.
9. Intellectual Property Rights
All content, features, and functionality on the Platform—including but not limited to logos, trademarks, UI design, graphics, text, and software—are the exclusive property of On Prize or its licensors. You may not reproduce, modify, distribute, or create derivative works without our prior written consent. "On Prize" and the associated logo are registered trademarks.
10. Limitation of Liability & Disclaimer of Warranties
IMPORTANT DISCLAIMER: To the maximum extent permitted by law, On Prize, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability shall not exceed the total amount paid by you for the specific order giving rise to the claim.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the Platform will be uninterrupted, error-free, or free from viruses. We disclaim all warranties, express or implied, including fitness for a particular purpose, title, and non-infringement.
11. Indemnification
You agree to indemnify, defend, and hold harmless On Prize, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from: (i) your violation of these Terms; (ii) your misuse of the Service; (iii) your violation of applicable laws; or (iv) any dispute between you and a Restaurant Partner or Delivery Partner.
12. Termination & Suspension
We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that violates these Terms, harms our interests, or is unlawful. Upon termination, your right to use the Service ceases immediately, but provisions that by their nature should survive (e.g., indemnity, liability limits) shall remain in effect.
13. Modifications to Terms
On Prize may revise these Terms from time to time to reflect legal updates, operational changes, or new features. The revised version will be posted on this page with an updated effective date. For material changes, we will notify you via email or prominent in-app notice. Continued use of the Service after 30 days of notification constitutes acceptance of the modified Terms.
14. Governing Law & Dispute Resolution
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
- Jurisdiction: Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.
- Informal Resolution: Before initiating legal action, you agree to contact us at support@onprize.in to attempt an amicable resolution within 30 days.
15. Grievance Officer (as per IT Rules, 2021)

16. Miscellaneous
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force.
- Waiver: Our failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our consent.
- Entire Agreement: These Terms, together with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and On Prize.
